What these terms cover

These terms are an agreement between your organisation and Mocha's MindLab Inc. (Canada) for the use of Certalot, a food-export compliance platform. By creating an account or using Certalot, you accept them on behalf of the organisation you represent.

What Certalot does

Certalot turns operational documents into traceability records and generates compliance reports for frameworks such as FSMA 204 (US), EUDR (EU) and CFIA SFCR (Canada). Certalot is a record-keeping tool: it does not file anything with any regulator, and it is not legal or regulatory advice. You remain responsible for your organisation's compliance obligations, for the accuracy of your records, and for what you submit to regulators and customers.

AI extraction and your review

Smart Import uses AI to read documents and propose traceability fields (see How Certalot Uses AI). AI output can contain errors. Certalot is designed so that nothing is saved as a record until a person in your organisation reviews and confirms it, and you agree to review extracted fields before confirming them. We do not guarantee the accuracy of AI extraction, and confirmed records are your organisation's records.

Your data

Your organisation owns its records, documents, and data. We process them only to provide the service, as described in our Privacy Policy. You can export your records at any time, and organisation administrators can delete organisation data subject to any retention your own regulatory obligations require.

Accounts and the supplier portal

You are responsible for the people you add to your organisation and the supplier invitations you send. Supplier portal submissions are made against your organisation's records at your request, and it is your responsibility to invite the right suppliers and review what they submit.

Billing

Paid plans are billed per facility through Stripe, at the pricing shown when you subscribe or as agreed in an order form. Fees are in Canadian dollars unless stated otherwise, plus applicable taxes. You can cancel at any time; cancellation stops future billing and your plan runs to the end of the paid period. Enterprise agreements may have separate negotiated terms, which take precedence where they conflict with these.

Acceptable use

Use Certalot lawfully and for its intended purpose. Do not attempt to break, probe, or overload the service, access other organisations' data, resell the service, or use it to create records you know to be false. We may suspend accounts that put the service or other customers at risk.

Availability and changes

We work to keep Certalot available and improving, but the service is provided "as is" and we do not promise uninterrupted availability. We may add, change, or retire features; if we materially reduce what your paid plan includes, we will tell you in advance.

Liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, or consequential damages, including regulatory penalties, lost profits, or losses arising from records your organisation confirmed; and our total liability under these terms is limited to the fees your organisation paid us in the twelve months before the claim arose. Nothing in these terms excludes liability that cannot be excluded by law.

Termination

You can stop using Certalot and delete your account at any time. We may terminate accounts that materially breach these terms, with notice where practical. On termination, export your records first; deletion follows the Privacy Policy's retention rules.

Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Disputes will be resolved in the courts of British Columbia.

Changes to these terms

We may update these terms as the product evolves. For material changes we will notify you by email or in the app before they take effect. Continued use after the effective date is acceptance of the updated terms.
